Summary
Carbonxt has lodged its annual Corporate Governance Statement for the financial year ended 30 June 2026, setting out how the company measures up against the ASX Corporate Governance Council's recommendations.
The short version: Carbonxt follows the large majority of the recommendations in full, and this statement explains where it doesn't, and why.
The main areas of variance are around board and executive performance reviews. Given the company's size, Carbonxt hasn't run a formal, structured performance evaluation process for the board or individual directors this year, and a formal senior executive performance evaluation wasn't conducted in the period either. The board also doesn't have a formal skills matrix, and it isn't majority-independent: it currently comprises two executive directors and two independent non-executive directors, which the board attributes to its reliance on the relationships and expertise those directors bring at this stage of the company's development. The independent Chairman is Matthew Driscoll, separate from Managing Director Warren Murphy.
On the governance fundamentals that matter most to shareholder protections, Carbonxt is fully compliant: continuous disclosure policy, audit and risk committee, remuneration committee, whistleblower and anti-bribery policies, and shareholder participation and voting by poll are all in place and disclosed on the company's website.
